About the Organisation

The Uganda Investment Authority (UIA) is a semi-autonomous government agency operating in partnership with the private sector and the Government of Uganda to drive national economic growth and development. The Authority was set up by an Act of Parliament (Investment Code 1991, which was later revised to the Edition 2000 Laws of Uganda) 2019 with the aim of promoting and facilitating private sector investment in Uganda.

The ability of the Authority to fulfill its mandate primarily lies in the way in which its Human Resource is managed from the point of entry, stay, exit and post-exit. It is a policy of UIA to attract and retain a highly qualified and competitive workforce to fulfill its mandate and hence the need to fill the vacant positions.

Job Description

Uganda Investment Authority (UIA) is a statutory agency which is mandated to promote, attract, facilitate, register, monitor and evaluate all forms of investments and business activities in Uganda as per the Investment Code Act, 2019.

It is on the basis of this mandate that UIA initiates and supports measures that enhance investments in Uganda and advises Government of appropriate policies conducive for investment promotion and growth in the country.

UIA seeks to recruit highly Competent, Experienced and Motivated qualified individuals to fill the following position

Duties and Responsibilities

  • Legal Compliance: Ensuring that all investment activities and transactions comply with relevant laws, regulations, and industry standards. This includes securities laws, contractual obligations, regulatory requirements, and internal policies.

  • Contract Negotiation: Negotiating investment agreements, contracts, and legal documents with clients, counterparties, investors, and other stakeholders. This involves reviewing terms and conditions, drafting agreements, and ensuring alignment with business objectives.

  • Risk Management: Assessing legal and financial risks associated with investment transactions and strategies. Developing risk mitigation strategies, identifying potential liabilities, and implementing measures to protect the organization's interests.

  • Litigation Management: Managing litigation and legal disputes related to investment activities. This includes coordinating with external legal counsel, preparing legal documents, conducting investigations, and representing the organization in legal proceedings.

  • Due Diligence: Conducting due diligence reviews of investment opportunities, including legal, financial, and regulatory assessments. Analyzing legal documentation, identifying risks, and making recommendations to senior management.

  • Compliance Oversight: Overseeing compliance with contractual obligations, investment guidelines, and regulatory requirements. Monitoring changes in laws and regulations affecting investment activities and ensuring timely compliance updates.

  • Investor Relations: Managing relationships with investors and addressing legal and contractual inquiries. Providing information, disclosures, and updates to investors regarding investment performance, risks, and legal matters.

  • Documentation and Reporting: Maintaining accurate and organized documentation of investment transactions, contracts, and legal correspondence. Generating reports and summaries for senior management and stakeholders as needed.

  • Dispute Resolution: Resolving disputes and conflicts arising from investment activities, contracts, or legal matters. Facilitating negotiations, mediating disagreements, and seeking amicable resolutions to minimize legal exposure and financial impact.

  • Strategic Planning: Contributing to strategic planning and decision-making processes related to investment strategies and opportunities. Providing legal insights and recommendations to senior management to support informed decision-making.

  • Team Leadership: Leading and managing a team of legal professionals or legal support staff specializing in investment litigation and contracts. Providing guidance, mentorship, and training to ensure the team's effectiveness and professional development.

  • Continuous Improvement: Identifying opportunities for process improvements, efficiency gains, and risk mitigation in investment operations. Implementing best practices, lessons learned, and feedback mechanisms to enhance legal and contractual management processes.

  • Stakeholder Communication: Communicating effectively with internal stakeholders, including senior management, investment teams, and other departments. Collaborating with external stakeholders, such as legal counsel, regulatory authorities, and industry associations.

  • Confidentiality and Data Protection: Ensuring the confidentiality and protection of sensitive information, trade secrets, and proprietary data related to investment activities and legal matters. Implementing data security measures and compliance with data protection regulations.

  • Professional Development: Staying abreast of legal developments, industry trends, and best practices in investment management and financial services. Pursuing ongoing professional development and continuing education to maintain expertise in relevant areas.

Qualifications and Competencies

  • Education: A bachelor's degree in law, finance, business administration, economics, or a related field is often required. Some employers may prefer candidates with a Juris Doctor (JD) degree or equivalent legal qualifications.

  • Legal Experience: Extensive experience in legal practice, with a focus on litigation, contracts, and investment law. This may include at least 7-10 years of experience as a practicing attorney, corporate counsel, or legal advisor in the finance industry.

  • Investment Expertise: In-depth knowledge of investment principles, financial markets, securities laws, and investment products. Familiarity with investment strategies, asset classes, and portfolio management techniques is essential for understanding the legal aspects of investment activities.

  • Litigation Skills: Strong litigation skills, including legal research, case analysis, and courtroom advocacy. Experience in representing clients in litigation proceedings, arbitration, mediation, and alternative dispute resolution methods.

  • Contract Negotiation: Proficiency in contract negotiation, drafting, and review. Experience in negotiating investment agreements, contracts, and legal documents with clients, counterparties, investors, and other stakeholders.

  • Risk Management: Understanding of legal and financial risks associated with investment activities. Ability to assess risks, develop risk mitigation strategies, and implement measures to protect the organization's interests.

  • Compliance Knowledge: Knowledge of relevant laws, regulations, and industry standards governing investment activities. Understanding of securities laws, contractual obligations, regulatory requirements, and compliance frameworks.

  • Financial Acumen: Understanding of financial principles and investment concepts. Ability to analyze financial data, evaluate investment opportunities, and assess the financial implications of legal decisions.

  • Communication Skills: Excellent communication skills, both verbal and written, to effectively communicate legal concepts, negotiate agreements, and advocate positions. The ability to articulate complex legal issues in a clear and concise manner.

  • Analytical Skills: Strong analytical skills to evaluate legal issues, assess risks, and make data-driven decisions. Proficiency in legal research, case analysis, and problem-solving to address complex legal challenges.

  • Leadership Abilities: Strong leadership qualities to lead and manage legal teams or legal support staff specializing in investment litigation and contracts. The ability to provide guidance, mentorship, and direction to team members.

  • Strategic Thinking: The ability to think strategically and develop long-term strategies for managing legal risks and contractual obligations. Experience in contributing to strategic planning and decision-making processes related to investment activities.

  • Ethical Conduct: Commitment to upholding ethical standards and integrity in legal practice. Adherence to professional codes of ethics and legal principles, and promotion of transparency, fairness, and accountability.

  • Adaptability: Flexibility and adaptability to thrive in a dynamic and evolving legal and investment environment. The ability to adjust to changing priorities, requirements, and circumstances while maintaining focus on achieving legal and investment objectives.

  • Continuous Learning: Commitment to ongoing professional development and staying abreast of legal developments, industry trends, and best practices in investment management and financial services.
