About the Organisation
Uganda National Oil Company (UNOC) Limited is a limited liability company solely owned by the Government of Uganda (GOU). It was established under Section 42 of the Petroleum (Exploration, Development, and Production) Act and Section 7 of the Petroleum (Refining, Conversion, Transmission and Midstream Storage) Act, both of 2013. It was incorporated under the Companies Act of 2012 as a limited liability company on June 12th, 2015.
Uganda National Oil Company - UNOC was incorporated as a limited liability company wholly owned by the Government of Uganda in June 2015. Our overall function is to handle the Government of Uganda’s commercial interests in the petroleum sub-sector and to ensure State participation in petroleum activities. The company is also mandated to investigate and propose new upstream, midstream, and downstream ventures initially locally and eventually internationally.

Job Description
DEPARTMENT: Legal
JOB TITLE: Senior Board Affairs Officer (1 Vacancy)
REPORTS TO: Manager, Board Affairs
JOB PURPOSE:To assist the Manager, Board Affairs in coordinating and supporting the activities of the UNOC Board, including organizing venues for meetings, distributing Board papers to members, filing Board documents, and ensuring the efficient functioning of the Board.
Duties, Roles and Responsibilities
ESSENTIAL DUTIES:
Provide administrative support to the Board Affairs Unit.
Prepare the Board calendar and training plans for Board members.
Manage all procurements related to Board activities.
Draft advisory notes on corporate or other matters as needed.
Prepare relevant reports concerning Board matters when required.
Ensure timely filing of all governance-related documents.
Schedule Board meetings and ensure smooth execution of all Board activities.
Assist the Manager, Board Affairs, in drafting and reviewing Board documents.
Coordinate with various parties to ensure Board papers are prepared in advance and meet the required formats.
Implement tools and frameworks for managing and controlling Board documents.
Support initiatives aimed at raising awareness across UNOC on legal, regulatory, and internal compliance policies.
Perform other duties as assigned by the supervisor(s).

Qualifications, Education and Competencies
QUALIFICATIONS & EXPERIENCE:
Bachelor’s degree (Hons) in Law (LLB).
Diploma in Legal Practice.
A valid practicing certificate is essential.
Membership in ICSA is an added advantage.
At least 6 years of relevant experience in a reputable corporate entity.
Proven experience handling Board matters and providing advisory services in a large corporate setting.
SKILLS AND COMPETENCIES:
Knowledge and application of governance principles.
Strong communication and interpersonal skills.
Excellent organizational and planning abilities.
Strong analytical and problem-solving skills.
Attention to detail.
