About the Organisation

Uganda National Oil Company (UNOC) Limited is a limited liability company solely owned by the Government of Uganda (GOU). It was established under Section 42 of the Petroleum (Exploration, Development, and Production) Act and Section 7 of the Petroleum (Refining, Conversion, Transmission and Midstream Storage) Act, both of 2013. It was incorporated under the Companies Act of 2012 as a limited liability company on June 12th, 2015.

Uganda National Oil Company - UNOC was incorporated as a limited liability company wholly owned by the Government of Uganda in June 2015. Our overall function is to handle the Government of Uganda’s commercial interests in the petroleum sub-sector and to ensure State participation in petroleum activities. The company is also mandated to investigate and propose new upstream, midstream, and downstream ventures initially locally and eventually internationally.

Job Description

DEPARTMENT: Legal

JOB TITLE: Legal Officer (1 Vacancy)

REPORTS TO: Legal Manager

JOB PURPOSE: To support the daily execution of various tasks within the Contracts & Negotiations Division, including legal research, advisory services, contract review and drafting, and assisting with compliance matters.

Duties, Roles and Responsibilities

ESSENTIAL DUTIES:

  • Assist in preparing and drafting various contracts and related documents.

  • Maintain organized contractual records and documentation, including receipt and control of contract correspondence, customer contact details, changes to contracts, status reports, and other project-related documents.

  • Provide guidance to Project Managers and operational staff on contract matters, offering training on contracting practices and procedures for new employees.

  • Support the implementation of procedures for contract management and administration in line with company policies.

  • Ensure signed contracts are communicated to all relevant parties, ensuring visibility, awareness, and proper interpretation to aid effective implementation.

  • Monitor transaction compliance (e.g., milestones, deliverables, invoicing) and maintain necessary documentation for company compliance.

  • Track and ensure the close-out, extension, or renewal of contracts as assigned.

  • Conduct legal analysis and research on various company-related legal matters.

  • Provide advice on legal issues and assist in drafting legal opinions, memoranda, and other briefing documents.

  • Develop and maintain legal compliance registers, ensuring they are regularly updated.

  • Perform any other duties and responsibilities as assigned by the supervisor(s).

Qualifications, Education and Competencies

QUALIFICATIONS & EXPERIENCE:

  • Bachelor’s degree (Hons) in Law (LLB).

  • A diploma in Legal Practice.

  • Valid practicing certificate (essential requirement).

  • A minimum of four (4) years' experience in a reputable corporate entity.

  • Demonstrated experience in managing contracts and compliance-related matters.

  • Knowledge of the Oil & Gas value chain is an advantage.


SKILLS AND COMPETENCIES:

  • Strong analytical and research skills.

  • Excellent interpersonal and communication skills.

  • High level of integrity with the ability to work under pressure.

  • Commercial acumen.

  • Knowledge of commercial law.

  • Expertise in contracting, legal drafting, and documentation.

  • Experience in contract risk management.

  • Familiarity with regulatory compliance management.

  • Experience in litigation and dispute resolution.

  • Strong negotiation and influencing skills.

  • Effective stakeholder management.

  • High ethical standards and integrity.
