About the Organisation

Uganda National Oil Company (UNOC) Limited is a limited liability company solely owned by the Government of Uganda (GOU). It was established under Section 42 of the Petroleum (Exploration, Development, and Production) Act and Section 7 of the Petroleum (Refining, Conversion, Transmission and Midstream Storage) Act, both of 2013. It was incorporated under the Companies Act of 2012 as a limited liability company on June 12th, 2015.

Uganda National Oil Company - UNOC was incorporated as a limited liability company wholly owned by the Government of Uganda in June 2015. Our overall function is to handle the Government of Uganda’s commercial interests in the petroleum sub-sector and to ensure State participation in petroleum activities. The company is also mandated to investigate and propose new upstream, midstream, and downstream ventures initially locally and eventually internationally.

Job Description

DEPARTMENT: Legal

JOB TITLE: Legal Manager - Upstream (1 Vacancy)

REPORTS TO: Head of Contracts & Negotiations

JOB PURPOSE: To manage the day-to-day legal, contractual, and regulatory aspects related to the upstream operations of UNOC and its joint venture partners.

Duties, Roles and Responsibilities

ESSENTIAL DUTIES:

  • Collaborate with relevant stakeholders to define negotiation strategies and actively participate in the review, negotiation, and drafting of agreements for upstream operations involving UNOC and its joint venture partners.

  • Contribute to the application process for new exploration, development, and production ventures UNOC may pursue.

  • Ensure proper management and implementation of executed upstream agreements, including Production Sharing Agreements (PSAs) and Joint Operations Agreements (JOAs).

  • Assess and manage legal, contractual, and regulatory risks in upstream operations and joint ventures, ensuring proper allocation in project implementation.

  • Implement tools and practices to ensure compliance with the legal, regulatory, and contractual frameworks governing upstream operations, aligning with international best practices and internal policies.

  • Provide advice and guidance on legal, regulatory, and contractual matters related to upstream projects, participating in relevant governance meetings as needed.

  • Monitor legal, contractual, and regulatory developments in Uganda and globally that could affect upstream operations, ensuring effective communication and compliance.

  • Support the adherence to applicable legal, regulatory, and contractual frameworks, best practices, and internal policies in executing upstream operations.

  • Mentor and manage junior staff in the Unit, fostering productivity and development.

  • Perform other duties as assigned by the supervisor(s).

Qualifications, Education and Competencies

QUALIFICATIONS & EXPERIENCE:

  • Bachelor’s degree (Hons) in Law (LLB).

  • Diploma in Legal Practice (essential requirement).

  • Valid practicing certificate (essential requirement).

  • Master’s degree in Law, Energy-related studies, Commercial Law, Corporate Law, Project Finance, or Management (essential requirement).

  • Minimum 8 years of experience in a reputable corporate entity, with at least 4 years in a supervisory role.

  • Proven experience managing complex transactions in a large corporate entity, including negotiating high-value project contracts and providing advisory services for such projects.

  • Experience in upstream operations and understanding the associated contractual frameworks is an advantage.


SKILLS AND COMPETENCIES:

  • Strong analytical, research, and drafting abilities.

  • Excellent judgment with the ability to anticipate legal risks and issues.

  • High level of integrity.

  • Ability to work under pressure and collaborate as part of a team.

  • Strong managerial skills and team leadership.

  • Excellent interpersonal skills, particularly in management and staff relations.

  • Outstanding oral and written communication skills.

  • Commercial acumen.

  • Expertise in commercial law, contracting, legal drafting, and documentation.

  • Proficiency in contract risk management.

  • Expertise in legal research and drafting.

  • Strong understanding of regulatory compliance management.

  • Knowledge of litigation and alternative dispute resolution.

  • Experience in complex decision-making processes.

  • Strong negotiation and influencing skills.

  • Stakeholder management experience.

  • Proven leadership in managing teams.

  • In-depth knowledge of the Oil & Gas value chain.
